Registration of Foreign Legal Entities

Russian law allows to create companies with foreign investment. The founders of such companies are foreign legal entities or foreign persons. Moreover Russian legal entities may have 100 % of foreign investment, as well as mixed contribution of Russian and foreign founders.
Directors of foreign companies may be Russian and foreign citizens. In case director is a foreigner and not a founder of the company he has to have a permit to work in Russian Federation at Federal Migration Service.
To register a foreign company the following documents are to be presented to Registration body:

For every foreigner – legal entity:
in apostil of resident country :

• Copy of State Registration Certificate, ĺxtract from trade register of country of origin (or its analog) containing data on foreign legal entity,
• Copies of constituent documents (Charter, Agreement or their analogs – Memorandum or Association papers or  Agreement of shareholders, or Activity Certificate);
• Notice from foreign bank about company account;
• Certificate from Fiscal body.   

Notary translation of the above papers into the Russian language is executed in Russia (not in foreign country)

      For foreigner – physical person:

• Notary Russian translation of passport (identity card) with acting visa,  (translation into the Russian language is executed in Russia not in foreign country); 
• In case the place of residence in foreign country is not written in the passport, notary translation of  the document confirming address of constant residence is needed  (translation into Russian is executed in Russia);
• Bank notice on account of foreign physical person (original or notary copy).

In addition the following data are requested:

• Information on director and chief accountant (may be the same person)
• Address data  about the legal entity to be registered
• Chartered capital of the Limited Liability Company including the ratio of contribution of the founders 

On termination of registration process the clients are given the following documents:

• State Registration Certificate;
• Certificate of Fiscal body;
• State Statistics Codes

Registration time of legal entity at fiscal body is from 5 to 10 business days.
