An incorporation on turn-key basis

Registration of an incorporation on “turn-key” basis includes:

• Preparation of the regulations documents packet of an incorporation;
• Registration of an entity in the state registry;
• Statistic codes arrangement in accordance with the kinds of activities;
• Registration in a fiscal body (INN code arrangement);
• Registration as a VAT taxpayer;
• Registration in non-budget funds (Fund of medical insurance, pension fund, Fund of social insurance;
• Preparation of regulation documents attested and certified by a notary for the opening of a bank account;
• Opening of bank accounts;
• Fiscal body notification about opening bank accounts.

(Time of registration depends on location of a local fiscal body - IMNS (Inspection of Ministry for levying taxes and dues) – from 2 to 14 days)

In order to establish an incorporation (OOO, ZAO , etc.) you have to provide the following primary information:

1. The name of a future incorporation (we can help you here);
2. Photocopy of a founder's passport;
3. List of kinds of activities (we will offer you to choose);
4. A taxation inspection chosen (there are seven of them in Yekaterinburg);
5. Passport photocopy of a future head of the incorporation;
6. Information about the size of authorized capital and its form (cash money or property, we'll give you advice on your requests);
7. Incorporation location and postal address (we can assist you in doing this);
8. A bank chosen (we will offer you a list of all banks and their branch offices in Yekaterinburg, terms of opening and using accounts).

Founder of incorporation

• If a Founder of Incorporation is a foreign citizen, the following papers will be needed: a passport with valid visa, bank reference about paying capacity, permission for economic activities as a foreign investor – physical person, if such kind of registration is stipulated by residence country law or another document, which confirms a businessperson's status as a foreign investor.
• If a Founder is an incorporation, registered on the territory of Russian Federation, you will have to provide: attested and certified by a notary copies of: Certificate of state registration, Charter of Incorporation, Foundation agreement of incorporation (decision of establishment), (if there are any) , all amendments in a Charter (if there were any), Certificate about registration in taxation body, Statistics Codes, bank reference about opened accounts.
• If a Founder is an incorporation, registered outside the territory of Russian federation - you will have to prepare the following: abstract from the commercial registry of a country from where an Incorporation originated or any other similar confirmation of a legal status of a foreign investor according to the law of the country of its residence, its citizenship or its domicile, Charter of a foreign incorporation or a decree about incorporation or any other document to substitute the Charter, Reference about the number of a taxpayer, Reference from a bank about a foreign company's opened account and its paying capacity (validity period of the reference doesn't exceed 6 months), Decision of a foreign company to establish an incorporation, Powers of attorney for a physical person to represent the company's interests and to hold registration.
